The Global Assembly, where every member has voting rights, is GRATA International's highest governing body. Meetings are held every 1-2 years to discuss and shape the association's strategic direction, debate key issues, and make collective decisions.
2. Global Board
The Global Board makes key decisions on the association's development, objectives, and member admissions. It also addresses governance issues and guides the administration to ensure smooth operations.
3. Administration
The Administration is responsible for the day-to-day operations of the association. It oversees the implementation of the Global Board's decisions and various committees, and ensures the smooth execution of the association's strategies and initiatives.
Global Assembly
The Global Assembly is the supreme governing body of the Association, comprising authorized representatives from all member offices. It meets at least once every two years, convened by the Administration. Additional meetings can be called upon the request of at least one-fifth of the members, with all members being notified at least 30 days in advance.
The Global Assembly has the following exclusive powers:
Amending the Articles of Incorporation.
Deciding on the Association's participation in other legal entities, including non-profit organizations.
Addressing any other matters related to the Association's activities.
Members can participate in meetings via videoconference, with virtual attendance considered equivalent to in-person participation. Decisions made by the Global Assembly are binding on all members and are documented in minutes, signed by the Secretary and Chairman, and circulated by the Administration.
Global Board
The Global Board serves as the supreme executive body of the Association, as defined by Article 69 of the Swiss Civil Code. It holds the authority to take any actions on behalf of the Association, except those that are within the exclusive competence of the Global Assembly.
The Global Board has the following key responsibilities:
Supervising the Association’s activities and strategic direction.
Approving and revising action plans, budgets, and internal regulations.
Setting membership fees and managing special funds.
Appointing, removing, and overseeing key officers, including the Executive Director.
